Welcome to BVTECHNOGROUP. These Terms and Conditions ("Terms") govern your participation as a merchant/vendor ("Vendor," "you," "your") on our online platform ("Platform"), where you can offer your software services to our global clientele. By registering as a Vendor and offering your services through our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Platform as a Vendor, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Platform as a Vendor.

2. Vendor Registration

2.1 Eligibility:
To register as a Vendor, you must be at least 18 years old and have the legal capacity to enter into binding agreements.

2.2 Registration Process:
You must provide accurate, current, and complete information during the registration process and keep your account information updated. We reserve the right to reject or terminate your registration at our discretion.

2.3 Account Security:
You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3. Vendor Obligations

3.1 Service Quality:
You agree to provide high-quality software services in a professional and workmanlike manner, in accordance with industry standards and any specific requirements outlined in the service agreements with clients.

3.2 Compliance:
You must comply with all applicable laws, regulations, and Platform policies while providing services. You must not engage in any activities that could harm the reputation of BVTECHNOGROUP or its Platform.

3.3 Communication:
You agree to communicate promptly and professionally with clients and BVTECHNOGROUP regarding service inquiries, project updates, and any other relevant matters.

3.4 Confidentiality:
You must keep all client information confidential and use it solely for the purpose of providing services through the Platform.

4. Service Listings

4.1 Accuracy:
All service listings must be accurate, complete, and not misleading. You are responsible for updating your listings to reflect any changes in your services.

4.2 Prohibited Content:
You may not list services that are illegal, infringe on intellectual property rights, or violate Platform policies.

5. Fees and Payments

5.1 Service Fees:
You agree to pay any applicable fees for using the Platform as specified in the Vendor agreement. These fees may be subject to change, and you will be notified of any changes in advance.

5.2 Payment Terms:
Payments for services rendered will be processed according to the terms specified in the Vendor agreement. BVTECHNOGROUP will facilitate payments from clients to Vendors, deducting any applicable service fees.

5.3 Taxes:
You are responsible for determining and paying any taxes related to your use of the Platform and provision of services. BVTECHNOGROUP may withhold taxes as required by law.

6. Intellectual Property

6.1 Ownership:
You retain ownership of all intellectual property rights in your services and deliverables, subject to any licensing agreements with clients.

6.2 License to Use:
By listing your services on the Platform, you grant BVTECHNOGROUP a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your service listings and related materials for marketing and promotional purposes.

7. Termination

7.1 Termination by You:
You may terminate your Vendor account at any time by providing written notice to BVTECHNOGROUP. Termination will not affect any ongoing projects or your obligation to complete them.

7.2 Termination by Us:
We may terminate or suspend your Vendor account immediately, without prior notice, if you breach any provision of these Terms or if we determine that your actions may harm the Platform or its users.

7.3 Effect of Termination:
Upon termination, your right to use the Platform will immediately cease, and you must cease all use of any Platform materials. Any pending payments will be processed according to the Vendor agreement.

8. Limitation of Liability

8.1 Exclusion of Damages:
In no event will BVTECHNOGROUP be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.

8.2 Limitation of Liability:
Our total liability to you for any claim arising out of or relating to these Terms or the Platform will not exceed the amount paid by you to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless BVTECHNOGROUP, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your use of the Platform, your services, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the Platform will be governed by and construed in accordance with the laws of INDIA/Maharashtra. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [Nagpur, India/Maharashtra].

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our Platform. You are advised to review these Terms periodically for any changes. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
